1. Introduction and Acceptance
MEDsort Pty Ltd (ABN 84 102 943 944) (“MEDsort”, “we”, “us”, or “our”) provides the MEDsort platform, website, application, APIs, integrations, and related services (together, the “Service”).
By accessing or using the Service, you agree to these Terms of Service (“Terms”). If you use the Service on behalf of a medical practice, company, or other organisation, you represent that you have authority to bind that organisation to these Terms.
2. The Service
MEDsort is an AI-powered medical document workflow automation platform for healthcare practices in Australia. The Service may read incoming emails and PDF attachments, extract structured information, classify documents, assist with routing and workflow actions, and present outputs to authorised users for review.
The Service is designed to support administrative and clinical workflows. MEDsort does not independently make clinical decisions, diagnose conditions, prescribe treatment, or replace review by qualified healthcare professionals.
4. Clinical and Professional Responsibility
MEDsort is a clinical support and workflow automation tool. It is not a diagnostic system, treatment system, medical advice service, clinical decision-making system, or substitute for professional judgement.
AI outputs, extracted fields, classifications, summaries, suggested routing, draft emails, generated content, and any other outputs from the Service must be reviewed and approved by qualified authorised users before they are relied on, saved, sent, routed, or entered into any record or third-party system.
You are solely responsible for ensuring that all extracted data, generated content, emails, recipients, routing actions, patient records, and other workflow actions are accurate, complete, appropriate, and lawful before you rely on them or allow them to be sent, saved, or actioned.
To the maximum extent permitted by law, MEDsort does not accept liability for clinical decisions, incorrect records, misdirected communications, missed reviews, user-approved actions, or downstream outcomes arising from use of the Service.
5. Customer Data, Privacy, and Data Storage
We handle customer data in accordance with our Privacy Policy and Data Storage Policy. Those policies explain the information we collect, how we use it, where it is processed, and how it is protected.
MEDsort does not persistently store patient data. Patient information remains in your practice management system. MEDsort acts as a secure processing pipeline: documents may be read from connected email, processed for extraction and workflow support, and routed to the appropriate destination. MEDsort stores only operational metadata such as processing status, audit logs, and practice settings.
You are responsible for ensuring that you have all required notices, consents, permissions, authority, and lawful bases to provide patient, practice, email, document, and other data to MEDsort for processing through the Service.
6. Customer Obligations
You must:
- maintain lawful access to any connected email accounts, practice systems, and third-party services
- keep credentials secure and promptly revoke access for users who no longer need the Service
- configure integrations, routing rules, recipients, categories, and practice settings accurately
- supervise staff use and comply with healthcare, privacy, professional, record-keeping, and other applicable obligations
You must not:
- use the Service for unlawful, harmful, or unauthorised purposes
- attempt to gain unauthorised access to the Service or related systems
- reverse engineer, decompile, scrape, or misuse the Service
- upload malicious code, corrupted files, or material you are not authorised to process
- use the Service in a way that interferes with security, availability, or other users
7. Emails, Integrations, and Automated Actions
MEDsort may assist with drafting, extracting, classifying, sending, marking, routing, preparing, or otherwise processing emails, documents, attachments, extracted data, workflow items, and related information.
Any emails, extracted data, sent data, routed documents, approved drafts, recipient selections, configuration choices, or other actions taken through the Service remain your responsibility. You must verify all information, recipients, routing destinations, and actions before they are approved, relied on, saved, sent, or otherwise actioned.
To the maximum extent permitted by law, MEDsort is not responsible for loss, damage, delay, miscommunication, privacy incident, clinical issue, regulatory issue, or other harm caused by incorrect user configuration, incorrect recipients, inaccurate source documents, incomplete source data, unreviewed AI output, third-party system behaviour, or user-approved actions.
8. Subscriptions, Fees, and Access
Access to some or all parts of the Service may require a paid subscription, order form, quote, or other written arrangement with MEDsort. Applicable fees, taxes, billing cycles, renewal terms, cancellation rights, and access limits may be set out in that arrangement.
We may suspend or restrict access if fees are overdue, payment fails, or your use exceeds agreed access limits, subject to any mandatory legal requirements or written agreement that applies.
9. Intellectual Property
MEDsort and its licensors own all rights, title, and interest in the Service, including the software, user interface, workflows, documentation, configuration, models, prompts, processes, designs, trademarks, and related intellectual property.
You retain ownership of your customer data. You grant MEDsort the rights necessary to host, process, transmit, secure, and otherwise use customer data to provide and improve the Service in accordance with these Terms, the Privacy Policy, and the Data Storage Policy.
We may use aggregated or de-identified usage data to operate, secure, analyse, and improve the Service, provided that it does not identify a patient or customer except as permitted by law and our policies.
10. Third-Party Services
The Service may rely on or integrate with third-party services, including Microsoft services, Google Cloud infrastructure, AI providers, payment processors, email systems, practice management systems, and other providers.
MEDsort is not responsible for third-party outages, API changes, account restrictions, provider decisions, third-party data handling outside our control, or customer-side configuration issues. Your use of third-party services may also be governed by their own terms and policies.
11. Availability, Support, and Changes
We will use reasonable efforts to keep the Service available, secure, and reliable. However, we do not guarantee that the Service will be uninterrupted, error-free, secure from every threat, or available at all times.
We may update, modify, suspend, or discontinue features where reasonably required for security, compliance, reliability, maintenance, third-party changes, or product development. Where practical, we will provide notice of material changes that significantly affect customer use of the Service.
12. Disclaimers
To the maximum extent permitted by law, the Service is provided on an “as is” and “as available” basis. MEDsort disclaims all warranties, representations, guarantees, and conditions, whether express, implied, statutory, or otherwise, except to the extent they cannot be excluded under applicable law.
We do not warrant that AI outputs, extracted data, classifications, summaries, draft communications, routing suggestions, or other Service outputs will be accurate, complete, current, clinically appropriate, free from omissions, or suitable for any specific use.
Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, warranty, right, remedy, or liability that cannot lawfully be excluded, restricted, or modified under applicable Australian law.
13. Limitation of Liability
To the maximum extent permitted by law, MEDsort will not be liable for any indirect, consequential, special, incidental, exemplary, punitive, loss-of-profit, loss-of-revenue, loss-of-goodwill, loss-of-data, clinical, regulatory, business interruption, or similar loss or damage arising from or relating to the Service or these Terms.
To the maximum extent permitted by law, MEDsort's aggregate liability for all claims arising from or relating to the Service or these Terms is limited to the fees paid by the customer for the Service in the 12 months before the event giving rise to the claim, or AUD $100 if no fees were paid.
These limitations do not apply to the extent liability cannot be excluded or limited under applicable law.
14. Indemnity
You indemnify MEDsort, its officers, employees, contractors, and suppliers from and against claims, losses, damages, liabilities, costs, and expenses arising from or relating to customer data, user actions or omissions, misuse of the Service, unlawful use, breach of these Terms, third-party integrations configured by you, or clinical, professional, regulatory, or business decisions made using or relying on the Service.
15. Suspension and Termination
We may suspend or terminate access to the Service if you breach these Terms, fail to pay applicable fees, create a security risk, use the Service unlawfully, or create a risk to MEDsort, the Service, other users, patients, or third-party systems.
On termination, your access to the Service will end. Data export, retention, and deletion will be handled in accordance with the Privacy Policy, Data Storage Policy, and any written agreement that applies to your subscription.
16. Changes to Terms
We may update these Terms from time to time to reflect changes in our Service, legal requirements, security practices, or business operations. When we make changes, we will update the “Last updated” date at the top of this page.
Where reasonable, we will notify registered users of material changes by email or in-app notice. Continued use of the Service after updated Terms take effect means you accept the updated Terms.
17. Governing Law
These Terms are governed by the laws of Australia. You agree to comply with all laws and professional obligations that apply to your access to and use of the Service.
